Please read these Terms & Conditions ("Terms") carefully before using the website located at abcfunding.com (the "Site"), operated by ABC Funding LLC ("ABC Funding," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

ABC Funding is a business financing marketplace, not a bank. We facilitate connections between small businesses and third-party private funding partners. We do not directly lend money, and nothing on the Site constitutes a commitment to lend or guarantee of financing. All financing is subject to the independent underwriting and approval criteria of individual funding partners.

1. Eligibility and Permitted Use

The Site is intended solely for use by owners and authorized representatives of legally operating US businesses seeking business financing. Consumer or personal loans are not offered. By using the Site you represent that:

  • You are at least 18 years of age
  • You are an authorized representative of a business entity
  • You are using the Site for lawful business purposes only
  • The information you submit is accurate and complete to the best of your knowledge

You agree not to use the Site to transmit unlawful, harassing, defamatory, or fraudulent content; to interfere with or disrupt the Site's infrastructure; to collect data from the Site through automated means without our prior written consent; or to misrepresent your identity or business information.

2. No Guarantee of Funding

Submitting an inquiry through the Site does not guarantee that you will receive a financing offer. Approval decisions are made solely by our third-party funding partners based on their own underwriting criteria. ABC Funding makes no representation or warranty that your business will qualify for any particular amount, rate, or product. Stated funding amounts, speeds, and terms are illustrative and not guaranteed. See our Disclosures page for additional important information.

3. Accuracy of Information

While we strive to keep the information on the Site accurate and current, we make no warranties — express or implied — regarding the completeness, accuracy, reliability, or suitability of any content on the Site. Product details, rates, and terms described on the Site are subject to change without notice. Always verify current terms directly with the applicable funding partner before accepting any financing offer.

4. Third-Party Funding Partners

By submitting a funding inquiry, you authorize ABC Funding to share your business information with third-party funding partners in our network for the purpose of evaluating your financing request. ABC Funding does not control, endorse, or guarantee any product, service, or offer made by these partners. Any financing agreement you enter into is solely between you and the funding partner. ABC Funding is not a party to such agreements and bears no responsibility for their terms, performance, or outcomes.

Links to third-party websites on the Site are provided for convenience only. We do not endorse those sites and are not responsible for their content or privacy practices.

5. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, audio clips, digital downloads, and software — is the property of ABC Funding LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may access the Site for your personal, non-commercial business research purposes. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without our prior written permission. The ABC Funding name and logo are trademarks of ABC Funding LLC. All other trademarks referenced on the Site are the property of their respective owners.

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ABC FUNDING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND FUNDING PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL LOSS — ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY FINANCING PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless ABC Funding LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit that is inaccurate or misleading.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts. Notwithstanding the foregoing, ABC Funding may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

10. Arbitration and Class Action Waiver

To the extent permitted by law, you and ABC Funding agree to resolve any dispute through binding individual arbitration administered by a recognized arbitration association under its commercial rules, rather than in court. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. This section does not apply to claims for injunctive relief or claims that are legally exempt from arbitration. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to our address below.

11. Electronic Communications

By submitting a funding inquiry, you consent to receive electronic communications from ABC Funding and its funding partners, including email, text messages, and automated or pre-recorded calls, at the contact information you provide. You may opt out of marketing communications at any time; however, transactional or administrative messages relating to a pending inquiry may still be sent.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to the Site with a revised "Last updated" date. Your continued use of the Site after any change constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable law, or for any other operational reason. Upon termination, all provisions of these Terms that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, and governing law.
